Wholesale Terms & Agreement

Effective Date: 04/03/2026

This Wholesale Terms & Agreement (“Agreement”) governs the relationship between Alpha Female AF, LLC (“Company,” “we,” “our,” or “us”) and approved wholesale partners (“Retailer,” “you,” or “your”).

By applying for and/or purchasing through a wholesale account, you agree to the following terms.

1. Approval & Eligibility

Wholesale accounts are granted at the sole discretion of Alpha Female AF, LLC.

We reserve the right to:

  • Approve or deny any application
  • Revoke wholesale access at any time
  • Request additional business verification

Submission of an application does not guarantee approval.

2. Authorized Sales Channels

Approved retailers may only sell Alpha Female AF products through the channels disclosed in their application.

The following are strictly prohibited without written approval:

  • Amazon
  • eBay
  • Walmart Marketplace
  • Any third-party resale marketplaces

Unauthorized resale may result in immediate termination of your wholesale account.

3. Pricing & Minimum Advertised Price (MAP)

Retailers agree to maintain brand value and pricing integrity.

  • Products may not be advertised below the suggested retail price without approval
  • Discounting, bundling, or promotional pricing must not damage brand perception

We reserve the right to enforce pricing guidelines and revoke access for violations.

4. Minimum Order Requirements

  • Minimum order quantities (MOQ) may apply to all wholesale purchases
  • Orders must meet minimum thresholds as communicated at time of purchase

We reserve the right to update MOQ requirements at any time.

5. Payment Terms

All wholesale orders must be paid in full at the time of purchase unless otherwise agreed in writing.

We reserve the right to:

  • Refuse fulfillment of unpaid orders
  • Suspend accounts with outstanding balances

6. Shipping & Fulfillment

  • Shipping costs are the responsibility of the retailer unless otherwise stated
  • Delivery timelines are estimates and not guaranteed

Alpha Female AF, LLC is not responsible for:

  • Carrier delays
  • Lost or stolen shipments once marked delivered

7. Returns & Damages

All wholesale orders are final sale.

We only accept claims for:

  • Defective products
  • Incorrect items

Claims must be submitted within 5 days of delivery and include:

  • Order number
  • Description of issue
  • Photo documentation

Approved claims may result in replacement or credit at our discretion.

8. Branding & Intellectual Property

Retailers are granted a limited, non-exclusive right to use Alpha Female AF branding solely for the purpose of selling approved products.

Retailers may not:

  • Alter logos, graphics, or product designs
  • Create derivative products
  • Use branding in a misleading or unauthorized way

All intellectual property remains the sole property of Alpha Female AF, LLC.

9. Brand Representation

Retailers agree to represent Alpha Female AF in a manner consistent with our brand identity, values, and positioning.

We reserve the right to revoke wholesale privileges if:

  • Products are presented in a way that damages the brand
  • Retailer messaging conflicts with brand values

10. Account Use

Wholesale accounts are intended for business use only.

Retailers may not:

  • Share account access with unauthorized users
  • Purchase wholesale products for personal use or redistribution outside approved channels

11. Termination

We reserve the right to terminate any wholesale account at any time for:

  • Violation of these terms
  • Misrepresentation of business information
  • Unauthorized resale or pricing violations

Upon termination:

  • Access to wholesale pricing will be revoked immediately
  • Pending orders may be canceled

12. Limitation of Liability

Alpha Female AF, LLC shall not be liable for any indirect, incidental, or consequential damages arising from wholesale purchases or resale activities.

13. Governing Law

This Agreement shall be governed by the laws of the State of Maryland.

14. Changes to Agreement

We reserve the right to update or modify this Agreement at any time. Continued use of a wholesale account constitutes acceptance of those changes.
